CORPORATE RESTRUCTURING OF ENTERPRISES AS A TOOL OF CORPORATE GOVERNANCE
Abstract
The article discusses the theoretical and methodological aspects of corporate restructuring of enterprises as an important instrument of corporate governance. A review of the current regulatory documents in Ukraine, which interprets the concept of enterprise restructuring and restructuring at the legislative level, is defined as a method of strategic, corporate, anti-crisis management, as well as financial restructuring. The modern key approaches to the concept of enterprise restructuring are given, its goals and types are determined. The reasons and motives for corporate restructuring of enterprises in the form of their reorganization have been systematized. There are three types of reorganization of enterprises based on formal criteria. The features and complex of motivation for the implementation of the reorganization of enterprises in the direction of their enlargement are considered. Legal and economic aspects are presented, a formalized presentation of the processes of mergers, acquisitions and acquisitions of enterprises is given; the principal differences between these types of enlargement of enterprises are indicated. The author draws attention to the actual problem for Ukraine of raider seizures of enterprises and possible ways of carrying out such actions. The attention is focused on the legal status of raiding in the countries of Western Europe. The state of the market for mergers and acquisitions (M&A) transactions in Ukraine from 2017 to 2020 was clarified, including in the context of a negative economic effect in the context of the COVID-19 pandemic. The features and motivation for the implementation of the reorganization based on the division of enterprises have been determined. Legal and economic aspects are presented, a formalized representation of division and separation of enterprises in the process of fragmentation is given. The characteristics are presented, the features of the transformation of enterprises as a type of reorganization are pointed out. The author’s vision of opportunities for improving business activity in the M&A market in Ukraine is presented.
