METHODOLOGICAL FUNDAMENTALS OF CORPORATE ENTERPRISE MANAGEMENT

Abstract

The authors suggest that the enterprise’s corporate management is a complex process of managing an organization that combines various approaches to achieve an optimal balance between the interests of shareholders, management, stakeholders and the external environment. It has established that the object of corporate management of an enterprise is the process of managing all aspects of the corporation's activities, which are directed at management decisions and influences to achieve strategic goals and effective work, and the subject is relations, processes, mechanisms and principles, to regulate and control the activities of the corporation with the aim achieving its strategic goals, ensuring management efficiency and protecting the interests of all interested parties. The main principles of corporate management of the enterprise are systematized, such as: transparency, responsibility, equality and protection of the rights of the participants of the corporate entity, ethical leadership, effective management, inclusiveness. The purpose of corporate management of the enterprise has been clarified, which involves ensuring effective and ethical management of the corporate entity, taking into account the interests of all interested parties. The functions of corporate management of the enterprise have proposed to be divided into two groups: system-wide, based on classic management functions (planning, organization, motivation, control, coordination, communication) and specific, arising from the tasks of corporate management as a separate type of management activity (risk management, ensuring transparency, supervision, protection of shareholders' rights, accountability, resource management, corporate culture management, interaction with stakeholders, maintaining compliance with legislation, audit and quality control). It has established that the key indicators of the effectiveness of corporate management of the enterprise are for consumers: maximum satisfaction of their needs; for participants: amount of net profit, return on investment; for stakeholders: satisfaction of the interests of all parties. The toolkit of corporate management of the enterprise includes the structure of corporate management, the system of internal control, codes of corporate ethics, mechanisms for protecting the rights of shareholders and decision-making methods. Based on the above components, the methodological components of the corporate management system of the enterprise have been clarified, which cover the purpose, object, subject, principles, functions, tools, business process management technologies, which involve the development of standards of corporate management processes, tools and key results of corporate management of the enterprise.
